LICENSE AGREEMENT The binary and source code form of the Standard Analyzer of VHDL Applications for Next Generation Technology software (hereinafter "Software") is provided by MTL Systems, Inc. (hereinafter "MTL") under an Exclusive commercial license from the University of Cincinnati. Copyright (c) 1995 The University of Cincinnati Exclusive license to MTL Systems, Inc. All rights reserved. MTL grants to you (hereinafter "Licensee") a non-exclusive license to use the Software for academic, research and internal business purposes only, without fee. Licensee may distribute the binary and source code to third parties provided that the above-mentioned copyright notice and this License Information appears on all copies and that no charge is associated with such copies. The University of Cincinnati retains exclusive ownership of the software, subject to certain MTL and U.S. Government rights. Licensee may make derivatives of the Software, provided that such derivatives can only be used for the purposes specified in the license grant above, and further provided that no modifications are made to the published (base IF) interface. However, if Licensee distributes any derivatives based on or derived from the Software, then Licensee will (1) notify MTL in writing regarding its distribution of any derivative, and (2) clearly notify users that such derivative is a modified version and not the original Software distributed by MTL. Any Licensee wishing to make commercial use of the Software should contact MTL to negotiate an appropriate license for such commercial use. The term "commercial use" includes (1) integration of all or part of the source code into a product for sale or license by or on behalf of Licensee to third parties, or (2) distribution of the binary code or source code to third parties that need it for a commercial product sold or licensed by or on behalf of Licensee or (3) any other use in which Licensee will derive revenue from copying, using or distributing the Software. RESTRICTED RIGHTS: Use, duplication or disclosure by the government is subject to the restrictions stated in contract No. F33615-95-C-1638 with MTL Systems, Inc. and as set forth in the Rights in Technical Data and Computer Software Clause (DFARS 252.227-7013, Alternate II and FAR Subpart 52.227. MTL AND THE UNIVERSITY OF CINCINNATI MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY OF THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MTL AND THE UNIVERSITY OF CINCINNATI SHALL NOT BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY DAMAGES SUFFERED BY LICENSEE AS A RESULT OF USING, MODIFYING OR DISTRIBUTING THIS SOFTWARE OR ITS DERIVATIVES. IN NO EVENT WILL MTL OR THE UNIVERSITY OF CINCINNATI OR ANY OTHER PARTY OR PERSON BE LIABLE TO LICENSEE OR ANYONE ELSE FOR ANY DAMAGES, INCLUDING LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAM OR MEDIA EVEN IF MTL OR THE UNIVERSITY OF CINCINNATI OR THE OTHER PARTY OR PERSON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above disclaimer may not apply to you. To the extent Licensee's jurisdiction allows such limitations, Licensee acknowledges that the disclaimers of warranties and limitations of liability permit MTL to provide the Software as provided herein and such limitations on liability are reasonable. By using or copying this Software, Licensee agrees to abide by the copyright, unfair competition and all other applicable laws of the U.S. including, but not limited to, export control laws, and the terms of this license. Licensee and MTL agree that this is the entire agreement between them, and MTL shall have the right to terminate this license immediately by written notice upon License's breach of, or non-compliance with, any of its terms. Licensee may be held legally responsible for any infringement that is caused or encouraged by Licensee's failure to abide by the terms of the license. Any dispute arising under this Agreement shall be governed by the laws of the State of Ohio or the United States, as may be appropriate. Any cause of action or dispute between the parties shall be brought in an appropriate court in Montgomery County, Ohio, and Licensee consents to the venue and jurisdiction of all Federal and state courts in Montgomery County, Ohio.
